FLS - Revised Carrier Contract

We were renewed - with the changes. However...I was advised via email a few of their contract points - which I had either crossed out/made revisions to - would need to remain "as is". I never did respond to that email - and we kept working with them. It wouldn't matter - as I have my copy with the changes noted - and each of the pages require an initial. Their contract copy would be null and void anyway if they were to toss out my corrected pages. And replace with their pages - they would be missing initials.

We are covered - either way.
 
DRC, you should be sure they agreed to your changes or else their original copy is the good one, they need to counter sign/initial the changes for them to take effect.
In any case, if a law suit comes up, no one is safe
 
Easiest way to cover your butt is to not do business with people that have unreasonable conditions. I for one will not be doing any more work with FLS. If everyone else took a stand they might have a change of heart... Just sayin'

Give it a few days or so....they will advise you what changes they can accept and which ones they cannot. If you are a carrier and do quite a bit with them - they'll compromise.
 
We are going through the process of renewing our agreement with them. One thing that we are doing is making sure that the contract is signed and sent to them in a PDF document that includes all pages. That way we have proof that we made changes when the agreement was returned. Some companies only ask you to send back the signature page. You'd have to be crazy to do that.
 
I think we crossed out about 60% of the contract. they still phone us for loads (haven't taken tho) ..
 
Does anyone know is actually responsible for this contract at FLS and if so do you have their contact information?

I'm waiting for our contract to come back from corporate but it will likely have a bunch scratched out. They will not do an ADHOC load confirmation. I've tried.
 
FLS wanted us to haul some of their freight. Sent us their contract which we were looking over (and scratching out parts). In the meantime, they called our insurance company and stated that they were to be added as 'additional insured' and that we had already signed the contract. Luckily, our insurance broker refused.
What is this 'additional insured'? At a quick glance, I didn't see it under the "Insurance" portion.
Wish we had a 'Corporate'. Any help would be appreciated.

We crossed a lot out. I've never seen a contract like this before. And, definitely took out the 'additional insured' clause.

"Additional named insured" isn't such a scary thing. Most customers want to be added to your policy if you're hauling their freight. As a broker, I ask (and receive) to be included as an additional named insured on the policies of all of our carrier partners. If a carrier is involved in an accident, especially in the US, everyone, shipper, broker, receiver, can be subject to legal action. It isn't something new, nor is it something to get too excited about.
 
We have customers asking to be "named" on our insurance also. It is quite common. We normally only do it for our larger customers. The normal "To Whom It May Concern" on insurance certificates isn't enough - come companies want their full name and address included.

I agree with Loaders - no biggie.
 
In case anyone needs clarification:

Named additional insurred - a blanket that covers both parties for shipments they contract together.

Certificate holder - I get to be notified of change, renewal, cancellation, etc...

Where's the smartest man in insurance to clarify for us? Patrick Lobo!!

Are you sure you don't mean a named certificate ? That's a totally different animal, and as common as air. That simply means your insurance broker will notify the certificate holder if your insurance coverage is cancelled, or lapses.
A named additional insured on your policy means you insure that person or entity for EVERYTHING they do, and for EVERYTHING your policy covers. i.e. I include AR@DRC on my policy as a named additional insured. One of his trucks, having absolutely nothing to do with me, hits a school bus in Dallas, Texas killing everyone onboard ... my insurance policy will have to cover that. Or, AR@DRC slips on the ice walking into his office ... my insurance policy will have to cover that too.
The proper clause should read something like "Named additional insured with respected to the insured's (policyholder's) operations only.". Then it's no biggie. Check with your insurance company (not just your broker) to be absolutely certain that a) you can do that, and b) the wording is correct.
 
Thanks so much Michael for clarifying. What you said is exactly what our insurance broker and our insurance companies head office told us. They strongly advised against allowing FLS to be named additional insured - and used almost the same examples as Michael used.
